Dyne Therapeutics has priced a $375 million public stock offering, a capital raise that arrives just as the clinical-stage biotech secures a January 2027 FDA decision date for its lead Duchenne muscular dystrophy therapy. The offering, reported on July 22, 2026, injects fresh dilution risk into a stock that has already tripled from its 52-week low, while simultaneously extending the company's financial runway through a pivotal regulatory catalyst.
The transaction follows a preliminary prospectus supplement filed July 21, 2026, which described a primary offering of $300 million of common stock with a 30-day underwriter option for up to an additional $45 million. The last reported sale price on July 20, 2026 was $23.45 per share. Morgan Stanley, Jefferies, Evercore ISI, LifeSci Capital and Raymond James are acting as joint book-running managers, with Jones as lead manager. The offering is being conducted under an automatically effective Form S-3 shelf registration filed on March 5, 2024, and remains subject to market and other conditions, with final terms to be disclosed in a forthcoming final prospectus supplement.
Dyne plans to use the equity proceeds, together with existing cash and a recently drawn $50.0 million term loan from Hercules, to fund clinical development, regulatory work, manufacturing and commercial build-out, platform and pipeline R&D, and general corporate purposes. Management currently expects these resources to fund operating expenses, debt service and capital expenditures into the second quarter of 2028, subject to business and development outcomes.
