Empery Asset Management has acquired $4.07 million worth of Empery Digital stock, according to a report published on August 15, 2026. The purchase lands at a delicate moment for the Nasdaq-listed company, which is simultaneously unwinding its Bitcoin treasury, defending a proxy fight, and pivoting toward AI data-center investments.
The buying entity is not a distant outsider. Empery Asset Management, LP serves as investment manager for certain funds that hold Empery Digital shares, and Ryan M. Lane, Empery Digital’s Chairman and Co-Chief Executive Officer, sits inside the ownership chain through his role as managing member of the general partner’s managing member. The filing explicitly states that Empery Asset Management disclaims beneficial ownership except to the extent of its pecuniary interest.
SEC filings sharpen the picture. A Form 3 filed on August 14, 2026, shows 2,930,345 shares of common stock held indirectly through those funds. An amended Schedule 13D/A, also dated August 14, reports a larger beneficial position: Empery Asset Management holds 4,330,345 shares, or 15.40% of the common stock, while Ryan M. Lane reports 4,430,345 shares, or 15.76%, including 100,000 shares held personally. Those percentages are based on 28,110,111 shares outstanding as of August 6, 2026.
