PubMatic CEO Rajeev Goel sold approximately $3.75 million worth of company stock on August 7, 2026, reducing his direct holdings by 86.96% to 31,692 shares, according to SEC filings summarized in the historical dossier. The transaction, executed at an average price of $17.74 per share, was conducted under a pre-arranged Rule 10b5-1 trading plan adopted earlier in the year.
The sale arrived days after PubMatic reported second-quarter results that exceeded expectations on multiple fronts. Revenue rose 11% year over year to $78.6 million, driven by a 60% revenue mix from connected TV, mobile app, and emerging channels that grew nearly 40% collectively. Adjusted EBITDA expanded to $19.6 million, a 25% margin versus 20% a year earlier, while free cash flow climbed 47% to $13.7 million. The company also repurchased 2.1 million shares in the quarter, representing 4.2% of fully diluted shares outstanding.
Goel was not the only executive selling. CFO Steven Pantelick disposed of 19,716 shares on August 13 at an average price of $17.31, a transaction valued at $341,284 that reduced his stake by 65.57% to 10,353 shares. That sale followed two larger disposals on August 12 (22,203 shares at $17.25) and July 6 (12,548 shares at $13.42), all executed under a Rule 10b5-1 plan. Chief Accounting Officer Lisa Gimbel sold 500 shares at $17.50 on August 12, also under a 10b5-1 plan adopted May 13, leaving her with 14,561 shares directly.
