Savers Value Village CEO Mark Walsh sold more than $2.4 million of company stock across three transactions in early August, filings show, while the stock gapped lower after the company's majority owner completed a discounted secondary offering.

Walsh disposed of 100,000 shares on August 10 at an average price of $12.20, 92,059 shares on August 11 at $11.93, and 7,941 shares on August 5 at $11.02, according to SEC Form 4 filings. The three sales totaled roughly $2.41 million and reduced his direct holdings to 47,363 shares. Each transaction was executed under a pre-arranged Rule 10b5-1 trading plan.

The stock closed at $11.80 on August 12 but opened the next session at $10.99, a gap down of about 7%, and last traded at $10.95 on volume of 2.25 million shares. The decline coincided with the closing of an upsized secondary offering by Ares Management affiliates, which sold 23 million shares at $10.25 each — well below the prior close.

Savers Value Village repurchased 1,021,580 shares from the underwriters at the same $10.25 price using cash on hand, though the company received no proceeds from the selling stockholders' sale.

Second-quarter results released August 6 showed net sales rising 7.4% to $448.2 million, with U.S. comparable store sales up 6.6%. Diluted EPS came in at $0.14, matching estimates. The company updated its fiscal 2026 EPS guidance to $0.47–$0.53. Piper Sandler raised its price target to $11 from $10 shortly after the earnings release.
